Terms of Service

1. Acceptance of terms

By accessing or using Seatoir (“the Service”), provided by Half Corporation, LLC (“we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of service

Seatoir is a software-as-a-service platform that analyzes section-level enrollment data to identify seat utilization inefficiencies and generate recommendations for higher education institutions. All recommendations produced by Seatoir are advisory only and do not constitute operational decisions.

3. Accounts and access

Each account is associated with a single institution. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must be authorized by your institution to use the Service on its behalf.

4. Acceptable use

You agree to use the Service only for lawful institutional purposes. You may not:

  • Attempt to access data belonging to other institutions
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service in any way that could damage, disable, or impair its operation
  • Upload data that you are not authorized to share with the Service

5. Data ownership and processing

Your institution retains full ownership of all data uploaded to the Service. We process uploaded data solely to provide the Service, including generating analysis and recommendations. We do not sell, share, or use your data for any purpose other than delivering the Service. For details on data handling, see our Privacy Policy.

6. Intellectual property

Seatoir and its underlying technology, including the analysis engine, user interface, and documentation, are owned by Half Corporation, LLC. Your institution retains ownership of its enrollment data. These Terms do not transfer any intellectual property rights from either party to the other.

7. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. Recommendations generated by Seatoir are advisory and informational. We are not responsible for decisions or actions taken based on those recommendations. Seatoir does not guarantee specific enrollment outcomes, seat recovery amounts, or revenue impact.

8. Limitation of liability

To the maximum extent permitted by law, Half Corporation, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service. Our total liability for any claims arising under these Terms shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

9. Termination

Either party may terminate this agreement at any time. Upon termination, your access to the Service will cease and your uploaded data will be deleted within thirty (30) days. You may request an export of your data prior to termination by contacting support@seatoir.com.

10. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

11. Governing law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
